### IMPORTANT — PLEASE READ BEFORE CONTINUING
By using our Services, you enter a legally binding contract with versus International Inc. Pay particular attention to:
- Section 2 — Who you contract with: two separate companies operate the versus brand. If you are resident in the United Kingdom, your contract is with versus Inc. and these Terms do not apply to you.
- Section 5 — Your wallet: your funds sit in a self-custodial wallet that only you control. We never hold your private keys and we cannot recover them for you.
- Section 6 — Funding: buying and selling USDC happens directly between you and a regulated third-party provider under its own terms and fees. We never receive, hold or transmit your money in a national currency.
- Section 7 — Positions: a position can gain or lose value and can lose its full value. Nothing on versus is investment advice.
- Section 9 — Fees: any fee we charge is shown before you confirm.
- Section 11 — Risk: stablecoin, smart-contract and blockchain risks are real and are yours. There is no deposit insurance or compensation scheme.
1. Introduction and Definitions
These Terms and Conditions ("Terms") govern your use of the prediction-market services provided by versus International Inc., trading as "versus" ("we", "us", "our"). By registering for an Account or using our Services, you agree to be bound by these Terms.
In these Terms:
- "Account" means your registered user account with versus.
- "Services" means the versus prediction market, the versus website and mobile applications, your Wallet as made available through the Services, and all related services provided by versus International Inc.
- "Market" means an event we make available on the platform, expressed as a question with two or more possible outcomes, together with its published rules.
- "Outcome" means a possible result of a Market.
- "Position" means a holding you open in a Market on a particular Outcome, funded with USDC, whose value changes with the Market and which settles according to Section 8.
- "USDC" means the USD-referenced stablecoin used on the platform.
- "Wallet" means the self-custodial blockchain wallet controlled by you and connected to your Account (Section 5).
- "Provider" means an independent third-party company that offers a service you use in connection with the Services, such as identity verification, wallet infrastructure or the purchase and sale of USDC.
- "Group" means versus International Inc. and versus Inc. together (Section 2.3).
Legal Agreement — These Terms form a legally binding contract. If you do not agree, do not use our Services.
2. About versus and Our Corporate Group

2.2 What We Offer
versus operates a prediction market: a platform on which you can open Positions on the outcome of real-world events using USDC held in your own Wallet. Markets may cover sports, politics and current affairs, financial and crypto markets, entertainment, technology and other events. For each Market, the available Outcomes, the current price and the rules that decide how the Market resolves are shown to you before you open a Position.
Positions settle in USDC to your Wallet. A Position can gain or lose value and can lose its full value. Nothing on versus is an offer of, or advice on, any investment, and we do not provide investment, financial, legal or tax advice. Any decision to open, close or hold a Position is yours alone.
2.3 Two Operating Companies
The versus brand is operated by two separate legal entities:
- versus Inc. (Isle of Man, company number 023191V) is licensed and regulated in Great Britain by the Gambling Commission under account number 101143. It contracts exclusively with customers resident in the United Kingdom and serves them at versusuk.com under its own terms. Until versusuk.com is switched on, customers resident in the United Kingdom continue to reach versus Inc. through versusapp.com and are always shown the versus Inc. terms.
- versus International Inc., the company these Terms are with, contracts exclusively with customers resident outside the United Kingdom and serves them at versusapp.com and through the versus apps.
If you are resident in the United Kingdom, these Terms do not apply to you. Your contract is with versus Inc. under its terms, which you will be shown instead. Your contracting party is determined by the country of residence you declare when you register and verify, which you must keep accurate. If your country of residence becomes the United Kingdom, you can no longer be a customer of versus International Inc.; your open Positions settle normally and your Wallet remains yours.
The Services of versus International Inc. are not provided under the Gambling Commission licence held by versus Inc. The Group nevertheless applies one group-wide standard to identity verification, financial-crime controls and player protection: a customer of either company receives the same checks and the same protection tools, and one person may hold only one Account across the Group.
2.4 Where You Can Use the Services
It is your responsibility to satisfy yourself that using the Services is lawful where you live and wherever you use them. We do not accept customers, and may decline, restrict or close an Account, where the law, sanctions or our licensing and Provider obligations require us to. Attempting to hide your location or residence is a breach of these Terms (Section 10).
3. Eligibility, Identity Verification and Screening
3.1 Eligibility
To open an Account and use our Services, you must:
- Be at least 18 years old, or older where the law of your country of residence sets a higher minimum age for using services like ours
- Be resident outside the United Kingdom (UK residents are customers of versus Inc., Section 2.3)
- Not be resident in, or accessing the Services from, a place where the law or sanctions prohibit us from serving you
- Not be subject to financial sanctions
- Not already hold an Account with any Group company, and not be excluded or self-excluded from any Group company
- Be acting solely on your own behalf and not for anyone else
- Not be an employee of versus or an immediate family member of one
3.2 Identity Verification
Before you can open a Position, or add or withdraw funds through the Services, we must verify your identity. Verification is carried out by Sumsub, our identity-verification Provider, and includes checking a government-issued identity document and a biometric liveness check that compares a selfie you provide with that document. We may ask for further documents where our legal or Provider obligations require it.
3.3 Sanctions and PEP Screening
Every user is screened against sanctions lists and for politically exposed person (PEP) status before using the Services and periodically afterwards. Where a match or a risk indicator arises, we may pause your Account while we review it, ask you for information, and decline or close your Account where our obligations require it.
3.4 Underage Use
Underage Use — If we discover you are under the applicable minimum age, your Account will be closed immediately and any open Positions will be closed or cancelled under Section 8. We may report the matter to the relevant authorities.
4. Your Account
4.1 One Account
You may hold only one Account across the Group. The Account must be in your own name and for your personal use only. Operating more than one Account, or allowing someone else to use yours, is a serious breach: duplicate Accounts will be closed and related Positions may be cancelled.
4.2 Security
You are responsible for keeping your login credentials, your device and any wallet recovery material secret and secure. If you suspect unauthorised access, change your password, revoke any permission you have granted under Section 5.3 and contact us immediately. We are not responsible for loss caused by someone using your credentials or device with your knowledge or through your failure to keep them secure.
4.3 Accurate Information
You must keep the information on your Account accurate and up to date, in particular your country of residence and your contact details. Providing false or misleading information is a breach of these Terms.
5. Your Wallet
5.1 Self-Custodial
Your Wallet is a self-custodial blockchain wallet: the private keys that control it belong to you and are never held, seen or stored by versus. Your Wallet is created for you through a wallet-infrastructure Provider named in the app, and your funds sit in your Wallet on the blockchain, not with us. We cannot move your funds, freeze your Wallet, reverse a transaction or recover your keys.
5.2 Export and Security
You may export your Wallet or its keys at any time, as offered in the app. You are solely responsible for the security of your Wallet and its recovery material. Anyone who obtains your keys controls your funds, and blockchain transactions cannot be undone. Loss of your keys means loss of access to your funds, and we cannot restore it.
5.3 Execution Permission
Where the app offers it, you may grant our systems a time-limited and revocable permission to submit blockchain transactions on your behalf so that Positions you place are executed immediately. Any such permission is limited to executing the Positions you yourself place, is capped in amount and time as shown when you grant it, and can be revoked by you in the app at any time. It never gives us your keys and never allows us to withdraw your funds.
5.4 Blockchain Transactions
Transactions on the blockchain are final once confirmed and are visible to anyone. Network fees, congestion and outages are outside our control and may delay or, in rare cases, prevent a transaction.
6. Adding and Withdrawing Funds
6.1 Buying and Selling USDC Through Providers
You fund your Wallet by buying USDC from a regulated third-party payment Provider, and you cash out by selling USDC to such a Provider, which pays you in your local currency. Each purchase or sale is a direct transaction between you and the Provider, which acts as the merchant of record under its own terms, fees, limits, verification requirements and country coverage. The Providers available to you are named in the app.
versus never receives, holds or transmits your money in any national currency. We do not take deposits, we do not hold customer funds, and we do not act as a payment service. We only introduce you to the Provider.
6.2 Your Funds Stay Yours
Because your funds sit in your own Wallet, you may transfer them out at any time using your Wallet, without our permission. We may restrict your ability to open new Positions (Section 13), but no restriction we apply can take away your control of your Wallet. USDC committed to an open Position follows that Position's settlement rules until the Position closes or the Market resolves.
6.3 Provider Availability
A Provider may decline a transaction, apply its own checks or withdraw from a country. We are not responsible for a Provider's decisions, delays, fees or exchange rates, and the availability of a Provider is not guaranteed.
7. Markets and Positions
7.1 Opening a Position
To open a Position you select a Market and an Outcome and confirm the amount of USDC you want to commit. The price, the amount, the maximum you can receive if the Outcome occurs and any fee are shown to you before you confirm. By confirming, you instruct that the transaction be submitted to the blockchain.
7.2 Liquidity and Counterparty
Liquidity for a Market may be provided by other users of the platform or by liquidity providers, which may include versus or its affiliates. The counterparty to your Position is whoever provides the liquidity that fills it. We may limit the amount available at a given price and may decline a Position before it is confirmed on the blockchain.
7.3 Prices Change
Prices reflect the Market at the moment you confirm and move continuously until the Market resolves. The value of an open Position rises and falls with those prices and can fall to zero.
7.4 Closing a Position
Where a Market allows it, you may close all or part of a Position before the Market resolves at the price then available. Closing is not guaranteed: it depends on liquidity being available at that moment.
7.5 Your Responsibility
It is your responsibility to check the details of a Position before you confirm it. A confirmed transaction cannot be cancelled by us or by you. We are not responsible for Positions opened by mistake, at the wrong price or in the wrong Market.
8. Resolution, Settlement, Cancellations and Errors
8.1 How Markets Resolve
Every Market publishes, before Positions can be opened, the rules that decide its Outcome and the source or sources used to determine it. Markets are resolved according to those published rules. Once resolved, a Market pays out in USDC to the Wallets holding winning Positions, and losing Positions expire without value. A later change to the real-world result (for example an appeal or disqualification) does not reopen a resolved Market.
8.2 Uncertain or Unresolvable Events
Where the published rules do not clearly determine an Outcome, where the event does not take place, or where the source of truth is unavailable, the Market's published rules decide what happens, which may include settling at a stated fallback or returning the USDC committed to the Market. We will explain the rule that applies in the Market itself.
8.3 Cancellations
We may cancel Positions, or suspend or void a Market and return the USDC committed to it, where the integrity of the event or the Market is in question, where there is evidence of manipulation, insider information or another breach of Section 10, where an Outcome is withdrawn or changed before resolution, or where a Market cannot be resolved.
8.4 Errors
If a Market, price, rule or payout is affected by an obvious mistake or a system, data or oracle error, we may suspend the Market, cancel affected Positions, correct the settlement or settle at the corrected value. Where a payout was made in error, you must return it. Deliberately exploiting an error is a breach of Section 10.
9. Fees
versus may charge a fee for opening, closing or settling a Position. Any fee we charge is shown to you before you confirm the Position, together with the amount and price. Providers charge their own fees under their own terms, and blockchain transactions incur network fees that depend on the network and are outside our control. We may change our fees for future Positions by updating the amounts shown in the app; a change never affects a Position already confirmed.
10. Prohibited Use
You must not:
- Use the Services for any unlawful purpose, including money laundering, terrorist financing or fraud
- Use the Services where the law, sanctions or these Terms do not allow it, or use a VPN, proxy or any other means to disguise your location or your country of residence
- Provide false or misleading information, including a false country of residence
- Hold more than one Account across the Group, or allow anyone else to use your Account or Wallet
- Use funds that belong to someone else, or act for someone else
- Manipulate a Market, an Outcome, a price or the event a Market is about, alone or with others
- Use inside, privileged or non-public information about an event, or open Positions on an event you can influence or in which you take part
- Use bots, scripts, automated tools or multiple Wallets to circumvent limits, fees or Market rules
- Exploit an error, malfunction or loophole, or interfere with the Services, the smart contracts or other users
- Circumvent a player-protection measure, an exclusion or a restriction that applies to you
- Behave abusively towards other users or our staff, or submit objectionable content
We have zero tolerance for objectionable content and abusive users. Such content and users may be removed immediately, and you can report them in the app; reports are reviewed and acted on within 24 hours.
Consequences: if you breach this Section we may cancel Positions, restrict or close your Account, decline to pay amounts that arise from the breach where the law allows it, and report you to the relevant authorities. Funds that do not arise from a breach remain yours in your Wallet.
11. Risk Disclosure
Please read this Section carefully. Using a prediction market involves significant risk. Only commit funds you can afford to lose entirely.
- Total loss. A Position can lose its full value. You may lose everything you commit to a Market.
- No advice. Prices, statistics, news, AI features and other content on versus are information, not advice or a recommendation, and may be inaccurate or incomplete.
- Stablecoin risk. USDC is issued by a third party. It may lose its peg to the US dollar, become unavailable or be subject to the issuer's own terms, restrictions and blacklisting. We are not responsible for USDC or its issuer.
- Smart-contract and blockchain risk. The Services rely on smart contracts and public blockchain networks that may contain bugs, be exploited, be congested, fork or fail. Transactions are irreversible. Funds lost through such events may be unrecoverable.
- Self-custody risk. You control your Wallet and its keys. Loss, theft or compromise of your keys or device means loss of your funds, which we cannot restore.
- Provider risk. Identity, wallet and payment Providers are independent companies that may change their terms, decline you, delay a transaction or withdraw a service.
- No protection scheme. Your funds are not deposits, are not insured and are not covered by any deposit-guarantee, compensation or investor-protection scheme. The Services are not provided under a gambling, financial-services or investment licence in your country unless we say otherwise.
- Regulatory risk. Laws and rules on prediction markets and digital assets are changing. A change in law, regulation or Provider policy may require us to restrict or withdraw the Services in your country at short notice. Your Wallet and its funds remain yours in that case.
- Tax. You are responsible for any tax that applies to your activity on versus.
12. Player Protection Tools
We provide tools to help you stay in control, available in the app under Settings:
- Limits — set limits on the amount you commit and the time you spend, on a daily, weekly or monthly basis. Decreases take effect immediately; increases are subject to a cooling-off period before they apply.
- Take a break — pause your access to the platform for a period you choose.
- Self-exclusion — exclude yourself from the Services for a set period or permanently. During self-exclusion your Account is closed, you are removed from marketing and you cannot open a new Account with any Group company. An exclusion registered with either Group company is honoured by both.
- History — view your full Position and transaction history at any time.
We monitor activity for signs that our Services may be causing harm and may contact you, apply a protective measure or restrict your Account where we consider it proportionate. Any restriction applies to opening new Positions; your Wallet and its funds always remain under your control (Section 6.2). If you feel your use of versus is becoming a problem, contact support@versusapp.com and we will help you apply these tools.
13. Account Restriction and Closure
13.1 Restriction and Suspension
We may restrict or suspend your Account, without notice where the law or the circumstances require it, while we investigate a suspected breach of these Terms, a sanctions or PEP match, a Provider or legal requirement, or a player-protection concern. During a restriction you cannot open new Positions. Open Positions settle normally under Section 8 unless they are cancelled under that Section.
13.2 Closure by Us
We may close your Account where an investigation confirms a breach of these Terms, where we are required to by law, sanctions or a Provider obligation, for player-protection reasons, or for convenience on 14 days' notice. If your Account is dormant for 12 months we may close it after contacting you.
13.3 Closure by You
You may close your Account at any time in the app or by contacting support@versusapp.com. Closing your Account does not affect your Wallet or the funds in it.
13.4 Effect of Closure
On closure of your Account, any execution permission under Section 5.3 is revoked, open Positions settle or are closed under Section 8, and your Wallet remains yours. We retain the records the law requires us to keep (Section 17).
14. Availability, Changes to the Service and Third-Party Services
We aim to keep the Services available at all times but do not guarantee it. We may change, suspend or withdraw any part of the Services, any Market or any feature at any time, including where a Provider, a blockchain network, the law or a regulator requires it. Providers and blockchain networks are operated by others: their availability, terms and performance are outside our control, and your use of a Provider is governed by that Provider's own terms, which you accept directly with it.
15. Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited by law.
Subject to that, we are not liable for: any loss of value of a Position or of USDC; losses caused by blockchain networks, smart contracts, Providers, USDC or its issuer; losses caused by your loss of keys, credentials or devices; losses caused by your breach of these Terms or use of the Services in a place where they are not lawful; unforeseeable losses; loss of profit, business or opportunity; or events outside our reasonable control. Our total liability to you in connection with the Services in any 12-month period is limited to the total fees you paid to us in that period.
Nothing in these Terms affects rights you have as a consumer under mandatory law in your country of residence that cannot be excluded by contract.
16. Complaints and Disputes
For questions, contact support@versusapp.com or in-app support. For a formal complaint, email complaints@versusapp.com with your username, your name and a description of the issue. We acknowledge complaints within 24 hours and aim to give you a final response within 8 weeks.
If you are not satisfied with our final response, you may be able to refer the dispute to a dispute-resolution body or a court in your country of residence. Mandatory dispute-resolution rights under the law of your country of residence are not affected by these Terms.
17. Privacy and Data Protection
Your personal data is processed as described in our Privacy Policy. We collect data to provide the Services, verify your identity, screen for sanctions and PEP status, prevent fraud and financial crime, protect players and comply with the law. Wallet addresses and blockchain transactions are public by nature and cannot be deleted from the blockchain. We may share data with our Providers, regulators and law enforcement where the Privacy Policy or the law allows. Contact dpo@versusapp.com with any questions.
18. Changes to These Terms
We may change these Terms for legal, regulatory, service, security or business reasons. Minor changes take effect when published. We will notify you of material changes in advance through the app or by email and, where the law requires it, ask you to accept them before you continue to use the Services. Positions already confirmed are settled under the rules that applied when you confirmed them. If you do not agree with a change, stop using the Services and close your Account; your Wallet remains yours.
19. Governing Law and Other Legal Terms
- These Terms are the entire agreement between you and versus International Inc. about the Services.
- If any provision is invalid or unenforceable, the rest of the Terms remain in force.
- If we do not enforce a right, we do not waive it.
- You may not transfer your rights or obligations under these Terms; we may transfer ours to another Group company or a successor on notice to you.
- Blockchain networks, USDC and Providers are not parties to these Terms, and nothing in these Terms creates rights for them or against them.
Governing Law — These Terms and any dispute arising from them are governed by the laws of the Isle of Man, and the courts of the Isle of Man have jurisdiction. If you are a consumer, you also keep the protection of mandatory rules and the courts of your country of residence.
